Agreement Overview

These Terms and Conditions ("Agreement") govern your use of the website, products, and services provided by Strato-Cloud.io ("Strato-Cloud", "we", "us", "our"). By accessing or using our services, you agree to be bound by this Agreement. If you do not agree, please do not use our services.

Services

Strato-Cloud provides cloud access, visibility, and compliance solutions designed to help organizations simplify and secure their cloud environments ("Services"). This Service Agreement does not entitle to any support, upgrades, patches, enhancements, or fixes to the Services. Strato-Cloud may suspend, change, or discontinue any part of the Services at any time at its sole discretion.

Use Accounts

You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately if you suspect unauthorized use of your account.

Use Restrictions

You agree to use the Services only for lawful purposes and in accordance with all applicable laws and regulations. You will not:

• Attempt to gain unauthorized access to any part of the Services or related systems.
• Use the Services to transmit harmful, illegal, or infringing content.
• Interfere with or disrupt the integrity or performance of the Services.

Payment and Fees

You agree to pay all fees specified in your subscription or order form according to the payment terms described. Fees may be subject to change upon notice. Failure to pay may result in suspension or termination of your access to the Services.

Intellectual Property

All intellectual property rights in the Services, software, content, and documentation are owned by or licensed to Strato-Cloud. You are granted a limited, non-exclusive, non- transferable license to use the Services as expressly permitted under this Agreement.

Data Privacy and Security

Strato-Cloud is committed to protecting your data privacy and security. Our collection and use of your information are described in our Privacy Policy, which is incorporated into this Agreement by reference.

Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Strato-Cloud's liability arising out of or related to this Agreement shall not exceed the fees paid by you under the Agreement during the preceding twelve (12) months. We are not liable for any indirect, incidental, special, or consequential damages.

Term and Termination

This Agreement remains in effect until terminated by either party. You may terminate by ceasing use of the Services and providing notice. We may terminate immediately for breach of this Agreement or legal reasons.

Indemnification
You agree to indemnify, defend, and hold harmless Strato-Cloud from any claims, damages, liabilities, or expenses arising from your violation of this Agreement or misuse of the Services.

Governing Law and Dispute Resolution
This Agreement is governed by the laws of the jurisdiction where Strato-Cloud operates. Any disputes will be resolved through binding arbitration or in courts located in that jurisdiction.

Changes to Terms

We may update these Terms and Conditions from time to time. We will notify you of significant changes via the website or other communication methods before they take effect.
